TERMS OF USE — LINKUPAPI
1. COMPANY INFORMATION
These Terms of Use ("Terms") are provided by LINKUPAPI, SAS (societe par
actions simplifiee), registered office at 58 Rue de Monceau, 75008 Paris,
France — SIREN 995 238 540, SIRET 995 238 540 00018, VAT FR51 995 238 540
("LinkupAPI", "we", "us").

By creating an account or using the LinkupAPI API, you ("the Customer",
"you") agree to these Terms.
2. SERVICE OVERVIEW
LinkupAPI provides an API platform that lets software developers and
businesses connect messaging and professional accounts and automate outreach
and data workflows on behalf of the account owner, including:
- Account connection: connect social and professional networking accounts
and email mailboxes (Gmail, Microsoft 365, or any SMTP/IMAP provider) that
you own or are authorized to operate.
- Messaging and outreach: send messages, invitations, and emails from
connected accounts; read replies, delivery failures, and opt-out requests.
- Data and enrichment: search and enrich publicly available professional
data, verify email addresses, and retrieve profile and company
information.
- Webhooks and monitoring: receive events about connected accounts and
message activity.

3. ACCOUNT CONNECTION AND AUTHORIZATION
- You may only connect accounts that you own, or that their owner has
explicitly authorized you to connect and operate.
- Connections are made through the providers' authentication mechanisms
(credentials, session tokens, OAuth consent, or SMTP/IMAP app passwords).
You are responsible for having the right to use these credentials.
- Actions performed through the API (sending a message, an invitation, an
email) are performed on the connected account's behalf, at your request.
You remain responsible for these actions as if you had performed them
directly from the account.
- Third-party platforms (such as social networking platforms, Google, or
Microsoft) have their
own terms of service and usage policies. You are responsible for ensuring
that your use of connected accounts complies with them. LinkupAPI does not
guarantee that automated activity is permitted by every provider, and
providers may restrict or suspend accounts at their discretion.
4. DATA HANDLING
Our processing of personal data is described in our Privacy Policy
(linkupapi.com/legal/privacy-policy), which forms part of these Terms. In
summary:
- We store the data necessary to operate the service: account and billing
information, API logs, connected-account tokens and credentials
(encrypted at rest), and message data processed through the API for the
time needed to provide the requested features.
- We do not sell personal data, do not use connected-account content for
advertising, and do not use it to train artificial intelligence models.
- For the personal data you process through the API (for example your
prospects' contact details and your outreach messages), you act as the
data controller and LinkupAPI acts as your processor. You are responsible
for having a legal basis for this processing and for honoring data
subjects' rights.
5. ACCEPTABLE USE — OUTREACH AND ANTI-SPAM
You agree to:
- comply with all applicable laws on electronic marketing and data
protection, including the GDPR, the ePrivacy rules, and, where applicable,
the CAN-SPAM Act;
- only contact recipients for whom you have a valid legal basis (consent or
legitimate interest, as applicable);
- honor opt-out and unsubscribe requests promptly, and not re-contact
recipients who have opted out;
- accurately identify the sender of every message, and never impersonate a
person or organization or use misleading sender information or subject
lines;
- respect the rate limits, daily sending caps, and account health mechanisms
built into the service, and not attempt to bypass them;
- not send messages containing illegal, defamatory, or fraudulent content,
malware, or phishing attempts.
Bulk, indiscriminate, or non-compliant messaging degrades deliverability for
everyone and exposes your connected accounts to suspension by their
providers. We may throttle, suspend, or terminate access in case of abuse.
6. PROHIBITED USES
You must not:
- use the API for illegal activities or to infringe third-party rights;
- connect an account without its owner's authorization;
- attempt to reverse engineer, resell, or sublicense the service without our
written consent;
- share API credentials with unauthorized third parties;
- exceed rate limits or attempt to bypass technical restrictions or security
measures;
- use the service to build a competing product based on our infrastructure.
7. USAGE RIGHTS AND SUPPORT
- You are granted a personal, non-transferable, non-exclusive right to
access the API for the duration of your subscription.
- API access is provided on a best-effort basis. Technical support is
provided for API-related issues at support@linkupapi.com.
- We may update, improve, or deprecate endpoints; breaking changes are
announced in advance through our documentation or by email whenever
reasonably possible.
8. SUBSCRIPTIONS, CREDITS, AND BILLING
- The service is billed through subscription plans that include API credits,
as described on our pricing page. Payments are processed by Stripe.
- Subscriptions renew automatically at the end of each billing period unless
cancelled beforehand from the dashboard.
- Unused credits from a cancelled plan remain usable until their expiration,
as described in the pricing documentation.
9. REFUND POLICY
- Full refunds are available only if no API credits have been consumed.
- Refund requests must be sent to refund@linkupapi.com.
- Once credits have been used, no refund is provided. We reserve the right
to review requests on a case-by-case basis.
10. LIABILITY
- You are solely responsible for your use of the API, for the content of the
messages you send, and for the compliance of your outreach campaigns with
applicable law and with the terms of the platforms you connect.
- LinkupAPI is not liable for actions taken by third-party providers on
connected accounts (including restrictions or suspensions), for service
interruptions beyond our reasonable control, or for indirect damages such
as loss of profits or business opportunities.
- Nothing in these Terms excludes or limits liability that cannot be
excluded under applicable law, including liability arising from our
obligations under data protection law.
- To the maximum extent permitted by law, LinkupAPI's total aggregate
liability under these Terms is limited to the amounts you paid us in the
twelve (12) months preceding the event giving rise to the claim.
11. SERVICE AVAILABILITY
- We strive to maintain high availability but do not guarantee uninterrupted
service.
- Scheduled maintenance is announced in advance whenever possible.
12. SUSPENSION AND TERMINATION
- You may terminate your account at any time from the dashboard or by
contacting support.
- We may suspend or terminate your access in case of violation of these
Terms, non-payment, or use that creates a risk for the service, other
customers, or third parties. Where practicable, we will notify you and
give you an opportunity to remedy the issue first.
- Upon termination, your data is handled as described in the Privacy Policy
(Section 9 — Deletion and Revocation).
13. MODIFICATION OF TERMS
We may modify these Terms at any time. Significant changes are notified by
email or through the dashboard. Continued use of the service after the
effective date constitutes acceptance of the updated Terms.
14. GOVERNING LAW
These Terms are governed by French law. Any dispute that cannot be resolved
amicably will be submitted to the competent courts of Paris, France.
